Binding Legal Agreement

Limitation of Liability

In no event shall our aggregate liability exceed the amount you paid to us during the twelve months preceding the claim, or one hundred US dollars ($100), whichever is greater.

Force Majeure

Social Arc shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Exclusion of Consequential Damages

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law. The limitations and exclusions in these terms shall apply regardless of whether a remedy fails of its essential purpose.

Indemnification Obligations

You agree to defend, indemnify, and hold harmless Social Arc, its affiliates, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms and Conditions
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations
  • Your use or misuse of our services
  • Any content you submit or transmit through our services
  • Any breach of your representations and warranties

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.

Subject to your compliance with these Terms and Conditions, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our website for personal, non-commercial purposes. This license does not include any right to copy, modify, distribute, sell, or lease any part of our services, nor does it include any right to reverse engineer or attempt to extract the source code of our software.

Trademark Rights

Social Arc, our logo, and any other product or service names or slogans contained in our services are trademarks of Social Arc and may not be copied, imitated, or used, in whole or in part, without our prior written permission. You may not use any metatags or other hidden text utilizing our name or trademarks without our express written consent.

Copyright Infringement

Termination and Suspension Rights

Dispute Resolution and Arbitration

Informal Resolution

Most disputes can be resolved informally. Before filing a formal legal action or arbitration, you agree to first contact us and attempt to resolve the dispute informally by sending a written notice describing the nature and basis of the claim and the relief sought. We will attempt to resolve the dispute informally through good faith negotiations.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, United States, without giving effect to any principles of conflicts of law. You agree to submit to the personal jurisdiction of the state and federal courts located in San Francisco County, California for the purpose of litigating all such claims or disputes.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Social Arc.

Statute of Limitations

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of our services or these Terms and Conditions must be filed within one year after such claim or cause of action arose or be forever barred.

General Legal Provisions

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, and any other legal notices published by us on our website, constitute the entire agreement between you and Social Arc concerning your use of our services and supersede all prior agreements and understandings.

Severability

If any provision of these Terms and Conditions is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, shall be deleted.

Waiver

No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign, transfer, or sublicense these Terms and Conditions or any of your rights or obligations hereunder without our prior written consent. We may freely assign these terms without restriction. Any attempted transfer or assignment in violation of this section shall be null and void.

Survival

All provisions of these Terms and Conditions which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity obligations, and limitations of liability.

Headings

The section headings in these Terms and Conditions are for convenience only and have no legal or contractual effect. They shall not be used to interpret or construe the provisions herein.

Modifications to Terms
